Trademark Usage Policy
Introduction
This document ("Policy") outlines the policy of Enovix Corporation and its affiliates ("Enovix") regarding any person's or entity's ("User") use of registered and non-registered trademarks, logos, and site seals owned by Enovix ("Trademarks" or "Trademark"). This Policy pertains to all published notifications including those at our website, in marketing and sales materials, our internal communications, and any use of our Trademarks by Enovix employees, partners, customers, licensees, outside suppliers and vendors, and any other third party.
Trademarks identify and distinguish Enovix as the source of its associated products and services. Enovix considers its Trademarks and the goodwill they represent as among its most valuable assets. The purpose of this Policy is to ensure that the Trademarks remain strong and continue to serve as the source and quality indicators of Enovix's products and services while permitting Enovix's partners and customers to accurately describe their affiliation with Enovix. Any use of an Enovix Trademark requires a license or the prior written permission of Enovix.
General Guidelines
Enovix encourages its partners and customers to use the Trademarks in publicly distributed materials that reference Enovix's products and services so long as those materials make true, fair, and factual statements and abide by applicable law. Users may use an Enovix text Trademark to make true, fair, and factual statements about the products and services bearing the mark so long as such use is authorized under applicable law.
Users with a contractual relationship with Enovix may have been expressly granted a license in the applicable agreement to use a Trademark. If such license differs in its usage guidelines from this Policy, the guidelines in the applicable agreement should be followed.
Use of a Trademark in accordance with this Policy does not require additional approval. However, any desired use contrary to this Policy, whether commercial or non-commercial, requires a license or Enovix's prior written permission.
Exclusive Ownership of the Trademarks
By using any Enovix Trademarks, Users acknowledge that Enovix is the exclusive owner of the Trademarks and is the only entity entitled to register or claim an ownership interest in a Trademark or a derivative work of a Trademark. Users agree not to interfere with Enovix's rights to the Trademarks, including but not limited to challenging Enovix's use, registration of, or application to register such Trademarks.
Attribution of Ownership
At Enovix, we use Trademarks of various types, some of which are registered, and some not. To benefit from various legal remedies, we are required to notify the public of the different types of Trademarks.
This notification can be accomplished by marking the Trademark according to its registration status by a superscript, or by a note in the published document, e.g., a footnote.
For registered Trademarks, we should place an encircled R sign as a superscript to the right of the mark: ®
For non-registered Trademarks, we should place a TM sign to the right of the mark: ™
A written notice can also accomplish this goal:
Enovix, Just in Time for the Future, Brakeflow, and [design mark], are registered trademarks of Enovix Corporation; and AI Class and AI-1 are trademarks of Enovix Corporation.
Our different Trademarks are listed in Appendix A and in Appendix B.
Materials displaying a Trademark must attribute ownership of the Trademark to Enovix. The materials must not display the Trademark more prominently than User's own logos and trademarks.
To distinguish and be associated with Enovix, use the Trademarks consistently as distinctive identifiers of Enovix's products and services. The use of the Trademark should be as an adjective describing/modifying a noun, and NOT as the nouns themselves. See examples in Appendix A. For consistent use of the Trademarks, do NOT pluralize the Trademarks.
To be distinctive and consistent, always capitalize the first letter of a word in the Trademark, unless it is an acronym trademark, such as some Routejade Trademarks. In the case of a trademark that is an acronym, always capitalize all letters of the acronym trademark.
Such consistent use will allow the Trademarks to be distinctive and stand out from their surrounding text. Use each of the trademarks consistently, in the same way every time.
When using a Trademark on a website or another Internet-enabled medium, at least one reference to Enovix must include a link to www.enovix.com.
List of Enovix Trademarks
The list of Enovix Trademarks in Appendix A and Appendix B may be updated or modified at any time without notice, and should be referred to regularly. This list may not be comprehensive, and an omission of a Trademark does not represent a waiver of Enovix's ownership of such. If it is unclear whether a Trademark is owned by Enovix, contact legal@enovix.com, or the Enovix IP department (e.g., rbuller@enovix.com) for clarification.
Permissible Uses of Trademarks
Users may utilize Enovix's Trademarks in accordance with this Policy or guidelines within their applicable license:
- To refer to Enovix's products or services;
- To truly, fairly, and factually indicate a relationship to Enovix's products or services; and
- In titles of publications, seminars, and conferences.
Usage Rules for Trademarks
Trademarks must be used as adjectives followed by a generic modifier and not as nouns, verbs, or in the plural form.
For example:
A correct use example – as an adjective:
- Enovix® batteries inside.
- Use an Enovix® battery in your cell phone.
- We incorporate the Brakeflow® safety technology in our electrode assemblies.
- The AI-1™ technology is integrated in our batteries.
- They enhanced the features of the Routejade® certificate of quality.
An incorrect use example as plurals and/or nouns:
- Enovix inside.
- Use Enovix® in cell phones.
- We incorporate different AI Classes™ technologies in our batteries.
- We incorporate different AI Classes™ in our batteries.
- They enhanced FLPB's features.
Note that in these examples, the first letter of the Trademark word is capitalized (e.g., Enovix, Routejade, Brakeflow), and an acronym trademark word is all capitalized (e.g., AI and FLPB).
Usage Rules for Enovix as a Trade Name
"Enovix" functions not only as a Trademark that identifies Enovix as the source of the goods and services it offers but also as a trade name referring to Enovix Corporation. Trade names are nouns and therefore must not be followed by a generic descriptor. They may be used in the possessive form.
In text format, the first reference to the trade or company name must be "Enovix Corporation." "Enovix" may be used for subsequent trade name references. When used as a trade name, "Enovix" should not be followed by a Trademark symbol.
Non-Permissible Uses of Trademarks
Trademarks may not be used:
- As the name of or in combination with the name of a third party's company or trade name, products or services, as a domain name, social media profile, app launch tile image, or as part of a third party's marks or logos (except referentially to describe its purpose);
- In a manner that could confuse a reasonable viewer of the source of a product or service, including but not limited to, imitating the Trademarks, trade dress or other elements of Enovix's product packaging and website in advertising, product packaging or promotional materials, or using a Trademark to falsely imply that Enovix endorses a non-Enovix product or service;
- In an attempt to register a trademark or domain name that contains or is a derivate of a Trademark;
- In materials or in a manner that disparages or defames Enovix, its products or services, its employees or affiliates, or other people or entities;
- In materials or in a manner that otherwise damages the reputation of Enovix or the goodwill in the Trademarks;
- In false or misleading advertising;
- For purely decorative purposes; or
- In materials or in a manner that Enovix finds objectionable.
Trademark Abuse
If any marks, logos, icons, or images are confusingly similar to Enovix Trademarks, or if any Trademark use violates this Policy, please notify Enovix's legal team at legal@enovix.com and provide all information relevant to the misuse, including but not limited to where the misuse occurred.
Enovix reserves the right to review any use of its Trademarks and may object to any use that it deems a violation of this Policy, even if that use is not expressly prohibited by these guidelines. User agrees to promptly cease using a Trademark if Enovix objects to its use.
Amendments
ENOVIX MAY MODIFY ITS TRADEMARKS AND THIS POLICY AT ANY TIME AND IN ITS SOLE DISCRETION. PLEASE REFER TO THIS POLICY REGULARLY TO ENSURE COMPLIANCE.
